Commercial Financing
We are financial consultants providing various financial and managerial advisement services, on a national basis, to companies in need of capital, merger, acquisition or divestiture. We also act as "finders" of lenders and investors. We advise clients as to their corporate financial structure, preparation and presentation of prospectuses for potential public or private equity offerings as well as for merger, acquisition and divestiture. We also assist clients in the preparation and presentation of business plans for debt offerings. Clients are then introduced to the appropriate segment of our national network of commercial and private lenders and investors for the purpose of funding their project. Additionally, we offer our corporate financial consulting services to clients seeking accounts receivable financing, factoring, lease buy-back arrangements, asset based lending, real estate acquisitions and real estate financing for income producing residential, commercial and industrial properties. Our associates have extensive legal, accounting, securities and financial backgrounds. We assist and guide clients through all stages of their transactions. However, we do not engage in the practice of law or accounting nor are we registered broker/dealers engaged in the direct offer and sale of securities. What types of Companies do you work with? We work with companies within the United States and Canada seeking a minimum of $100,000 in financing - there is no ceiling on the maximum. There is no size, industry, or geographical restrictions. Start-ups requiring seed capital, companies with operating losses including those which have already filed for bankruptcy protection, companies desiring expansion or in need of working capital and companies seeking merger, acquisition or divestiture are all eligible. In real estate transactions, our minimum requirement is $500,000 for purchase and/or refinancing - there is no maximum on either. Who are your Funding Sources?
Is Capital available AND would I Qualify? There is always capital available. Qualifying for a loan or investment depends on you, your background, your company, and its current or potential profitability and its ability to satisfy a lender's or investor's requirements. Of course, the amount being sought for your business and the lender's or investor's exposure to rise is a key element. However, what is of paramount importance is the manner in which you present yourself and your project. Often that presentation is what makes the difference between success and failure in obtaining funding. Do you Guarantee that a Client will receive Funding? No. We work diligently with each client helping present its company's image, background, financial resources and future prospects in the best possible light to lenders and/or investors who hopefully will find interest in our client's project. However, being neither a direct lender nor investor, we can not offer guarantees of how much, if any, funding will be obtained. How much do you charge your clients? We do not charge our clients any type of up-front fees for our services in the area of advertisement and assistance in raising equity capital. We do, however, require a nominal retainer from those clients seeking to merge, acquire or divest, and at times, from those clients seeking debt financing. Finder's fees for assisting a client in raising capital are paid on a percentage basis only when the client actually receives the proceeds of the loan or investment in accordance with pre-set schedules of such fees. Additionally we charge for the preparation of documents and out-of-pocket expenses, if and when authorized. If funding is not guaranteed WHY should a client pay for preparation of documents? Lenders and investors are deluged with projects requiring a great deal of time and effort to review. Therefore, documentation presented in accordance with established standards is expected and required. Often, this is a legal requirement. The preparation of documents, including the costs involved, is the sole responsibility of the client. If a client so engages us for that purpose, we charge accordingly. What are the time parameters for document preparation and funding? A commitment for debt financing usually takes no longer than 20 business days with sometimes as little as 72 hours ONCE a client provides us with the proper business documentation; we complete loan application forms; and, we submit these forms with a business plan to our lenders for their review and consideration. Equity financing is another matter. There, a client may be involved in the offer and sale of securities. If so, there are legal requirements to be met on both federal and state levels. This requires not only the preparation of documents, but its registration or claim of exemption from the regulatory agencies. This process can take from several weeks to several months depending on the size, scope and structure of the offering. That accomplished, time then becomes a function of how closely a client can match an investor's criteria.
